1. Purpose and Scope
These Master Definitions establish the authoritative meanings of defined terms used throughout the Nixyum Policy Suite. Every Policy document — including the Terms of Service, Privacy Policy, Cookies Policy, Community Guidelines, Content Moderation & Takedown Policy, Data Retention & Deletion Policy, Advertising Policy, Data Map, and Data Retention Schedule — incorporates these definitions by reference.
Where a term is defined both in these Master Definitions and within a specific Policy, the definition in the specific Policy governs for the purposes of that Policy alone. In all other cases, the definitions set out herein are controlling.
This document forms a legally binding part of the agreement between Nixyum and each User.
The legal framework for these Policies is determined first and foremost by the Law of Georgia on Personal Data Protection and other applicable Georgian legislation. Where these Policies make reference to the General Data Protection Regulation (GDPR), the GDPR is referenced as a secondary, complementary framework — reflecting Georgia's substantial harmonisation with the GDPR — and not as the primary governing law. In the event of any conflict between Georgian law and the GDPR, Georgian law prevails.
2. Beta Period Notice
The Platform is currently operating in Beta. All Policies, including these Master Definitions, are fully legally binding during the Beta Period. The Beta status affects service availability and feature stability only — it does not diminish any rights or obligations of Nixyum or Users under these Policies or applicable Georgian law.
Nixyum reserves the right to amend, expand, or supersede these definitions as the Platform exits Beta and achieves general availability. Users will be notified of material changes in accordance with Section 4 below.
3. Defined Terms (A–Z)
The following terms, when used as defined terms in any Policy document, shall have the meanings assigned below:
Account — A registered Nixyum account created by a User upon acceptance of the Terms of Service, using an email address and password or a supported third-party sign-in provider. Each Account is associated with exactly one (1) Social Persona (Nex) and one (1) Anonymous Persona (Nyx). Only one Account may be held per natural person. An Account serves as the single point of authentication, identity, and accountability for the User on the Platform, whichever Persona the User acts through.
Act As — A Platform feature that lets a User create a single post, comment or reply with their other Persona without changing the Persona they are currently using. Content created through Act As belongs to the Persona chosen for that action and is subject to these Policies like any other Content of that Persona.
Adequate Protection (Appropriate Guarantees) — The standard under the Georgian Data Protection Law by which a foreign state or international organisation is recognised by the Supervisory Authority (SAO) as ensuring an adequate level of personal data protection ("appropriate data protection guarantees"). Transfer of Personal Data to a jurisdiction recognised as providing Adequate Protection is permitted without a transfer permit from the Supervisory Authority, subject to the existence of a lawful basis for the underlying processing. The European Union and the European Economic Area are among the jurisdictions so recognised. This corresponds, by harmonisation, to the concept of an adequacy decision under the GDPR.
Advertiser — A User or legal entity that submits, purchases, or places advertising content on the Platform in accordance with the Advertising Policy and any applicable insertion order or agreement entered into with Nixyum.
Anonymous Persona — The User's second Persona, which does not show other Users who the User is. The Platform calls it Nyx. For the purpose of these Policies, "Anonymous Persona", "Pseudonymous Persona" (defined below) and "Nyx" refer to the same Persona. The Anonymous Persona does not confer absolute anonymity. Nixyum keeps an internal record of which Account each Anonymous Persona belongs to and uses it to operate the Platform and to enforce these Policies; Nixyum discloses that link outside Nixyum only in the circumstances listed in the Privacy Policy.
Beta Period — The phase of Platform operation during which the Service is made available to Users in an early-access, test, or limited-release state prior to general availability. During the Beta Period: (a) features may be incomplete, unstable, or subject to modification or removal without notice; (b) data may be reset, migrated, or deleted at Nixyum's discretion; (c) no service level agreement or uptime warranty applies; and (d) the Terms of Service and Policies remain fully binding. The Beta Period commences on the date of first public or limited user access and concludes upon Nixyum's written announcement of general availability.
Beta Service — The Platform as operated and made available to Users during the Beta Period.
Content (User Content) — Any text, images, photographs, audio, video, links, code, files, posts, comments, reactions, direct messages, or other material that a User creates, uploads, posts, transmits, or otherwise makes available on or through the Platform, whether under their Social Persona or Anonymous Persona.
Controller (Data Controller) — The natural or legal person that, alone or jointly with others, determines the purposes and means of processing Personal Data. For all processing of User Personal Data conducted on or through the Platform, Nixyum acts as the Controller. This definition is consistent with the Georgian Data Protection Law and, by harmonisation, the GDPR.
Cookies — Small data files and similar technologies, including entries in the browser's local storage, that the Platform stores on or reads from a User's device. See the Cookies Policy for a full description of each one Nixyum uses.
CSAM (Child Sexual Abuse Material) — Any visual depiction, including photographs, video, computer-generated imagery, or any other digital representation, of sexually explicit conduct involving a minor (any individual under the age of 18). CSAM is unlawful under Georgian criminal law and under the laws of every jurisdiction in which Nixyum operates or could foreseeably operate. CSAM is Prohibited Content under the Community Guidelines and is subject to the specific handling procedures set out in the Content Moderation & Takedown Policy. Where CSAM is identified, Nixyum removes it from the Platform, preserves it as sealed evidence to which access is strictly restricted, for the period set out in the Data Retention Schedule, and reports it to NCMEC and, where required, to the competent authorities.
CyberTipline — The reporting system operated by NCMEC for receiving reports of CSAM and other forms of child sexual exploitation from electronic service providers, the public, and law enforcement. Nixyum reports CSAM to NCMEC through the CyberTipline.
Data Breach — A security incident resulting in the accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or unauthorised access to, Personal Data transmitted, stored, or otherwise processed by or on behalf of Nixyum. A Data Breach may trigger notification obligations to the SAO (the Supervisory Authority) and to affected Data Subjects under the Georgian Data Protection Law.
Data Map — Nixyum's published record — updated from time to time — setting out the categories of Personal Data processed, the purposes and Legal Bases for each processing activity, the recipients of Personal Data, applicable retention periods, and international transfer mechanisms. The Data Map forms part of the Policies.
Data Subject — An identified or identifiable natural person whose Personal Data is processed. In the context of these Policies, Users are the primary Data Subjects. Third parties whose Personal Data may appear in User-generated Content (e.g., individuals mentioned or depicted in posts) are also Data Subjects with rights under applicable law.
Direct Marketing — The processing of Personal Data for the purpose of sending commercial communications, advertising, or promotional material directly to a Data Subject through any channel, including email, SMS, push notifications, in-Platform notifications, or other means. Direct Marketing is permitted only on the basis of the Data Subject's freely given, specific, informed, unambiguous, and prior opt-in consent, in accordance with the Georgian Data Protection Law. Consent is not implied from registration, Account creation, Platform use, or purchase, and is recorded by Nixyum with timestamp and applicable Policy version. The Data Subject may withdraw consent at any time, and Nixyum shall cease such processing within seven (7) working days of receiving the opt-out request. The Personal Data of any User subsequently identified as a Minor shall not be used for Direct Marketing under any circumstances.
DPIA (Data Protection Impact Assessment) — A documented assessment of the impact of envisaged processing operations on the protection of Personal Data, conducted before the commencement of processing where the processing is likely to result in a high risk to the rights and freedoms of natural persons. Nixyum conducts a DPIA where required by the Georgian Data Protection Law, including in respect of large-scale processing of Special Category Data, systematic monitoring on a large scale, and the use of automated decision-making, including profiling, that produces legal or similarly significant effects. DPIA documentation is maintained internally and may be made available to the SAO upon lawful request.
DPO (Data Protection Officer) — The natural person formally designated by a Controller or Processor to oversee the organisation's compliance with applicable data protection law, monitor the conduct of DPIAs, serve as the contact point for Data Subjects and the Supervisory Authority, and report directly to the highest level of management. Nixyum will appoint a Data Protection Officer where required by the Law of Georgia on Personal Data Protection, including where the nature, scope, or purposes of Nixyum's processing constitute systematic and large-scale monitoring of Users' behaviour, or where any other statutory trigger applies. Pending the appointment of a formal DPO, the Privacy Contact at [email protected] performs the data protection liaison function, in accordance with the DPIA Framework.
DSAR (Data Subject Access Request) — A formal request submitted by a Data Subject to Nixyum to exercise one or more of their rights under the Georgian Data Protection Law and, by harmonisation, the GDPR, including the rights of access, rectification, erasure, restriction of processing, objection, data portability, withdrawal of consent, and the right to lodge a complaint with the Supervisory Authority. DSARs may be submitted to [email protected]. Users can also download a copy of their data, and delete their Account, directly in the Platform's settings. Nixyum will respond to valid DSARs within ten (10) working days of receipt, in accordance with the response timelines set out in the Law of Georgia on Personal Data Protection. This period may be extended once by up to a further ten (10) working days for complex requests, with written notice of the extension and the reason therefor provided to the Data Subject within the original 10-working-day period.
Enforcement Action — Any measure taken by Nixyum or its Moderators in response to an actual or suspected violation of the Terms of Service or any Policy, including but not limited to: content removal or restriction, including holding Content from other Users pending review; issuance of a formal warning; temporary or permanent restriction of posting or interaction privileges; suspension or revocation of the Anonymous Persona (Nyx); temporary Account suspension; permanent Account termination; measures to prevent a User whose Account was terminated from registering again; and referral to law enforcement authorities.
Engagement Signals — Records of a User's interaction with Content on the Platform, including views, dwell time, reactions, comments, hides, follow-graph events, and signals derived from these interactions. Engagement Signals are used by Nixyum for Feed Ranking and Platform-quality analysis. Engagement Signals are processed in identifiable form for ninety (90) days from collection, after which they are anonymised or deleted in accordance with the Data Retention Schedule. Engagement Signals are not used to infer Special Category Data and are not used to build advertising profiles.
Feed Ranking — The automated processing operation by which Nixyum composes and orders the Content displayed in each User's personalised Content feed. Feed Ranking processes Engagement Signals on the bases of Contract (as feed ranking is an inherent feature of the Platform service) and Legitimate Interest (Platform quality improvement, subject to a documented Legitimate Interests Assessment). Feed Ranking does not produce legal effects and does not significantly affect Users in a manner comparable to legal effects. The processing is the subject of DPIA-01, registered in the DPIA Framework & Register.
GDPR — Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data (General Data Protection Regulation), as amended or replaced from time to time. The GDPR is referenced in these Policies as a secondary, complementary framework reflecting the substantial harmonisation of the Georgian Data Protection Law with the GDPR. The GDPR is not the primary governing law for the Platform, except in respect of any processing activity that falls within the territorial scope of the GDPR under Article 3 thereof.
Georgian Data Protection Law — The Law of Georgia on Personal Data Protection (Law No. 3144 of 14 June 2023), most provisions of which entered into force on 1 March 2024, together with any subordinate regulations, binding guidelines, or decisions issued by the Supervisory Authority thereunder, as amended from time to time. References to the Supervisory Authority shall be construed in accordance with the definition of "SAO" in these Master Definitions. Georgia's data protection framework is substantially harmonised with the GDPR.
Inactivity Period — A continuous period of twenty-four (24) months during which a User Account records no login, no content submission, no interaction, and no verified communication with Nixyum. Upon expiry of the Inactivity Period, Nixyum will, subject to the Data Retention & Deletion Policy, issue a notice of intended Account closure and delete the Account and its data if no response is received within thirty (30) days of such notice.
Legal Basis (Lawful Basis) — The lawful ground under the Georgian Data Protection Law and, by harmonisation, the GDPR upon which Nixyum may process Personal Data. The applicable Legal Bases are: (a) performance of a contract to which the Data Subject is party, or steps taken prior to entering into a contract at the Data Subject's request; (b) compliance with a legal obligation to which Nixyum is subject; (c) the legitimate interests of Nixyum or a third party, where those interests are not overridden by the fundamental rights and freedoms of the Data Subject; (d) consent freely given, specific, informed, and unambiguous; (e) protection of the vital interests of the Data Subject or another natural person; and (f) performance of a task carried out in the public interest. The applicable Legal Basis for each processing activity is set out in the Privacy Policy and Data Map.
LIA (Legitimate Interests Assessment) — A documented internal assessment conducted by Nixyum prior to relying on the Legal Basis of legitimate interests for any processing activity, evaluating: (a) the legitimate interest pursued; (b) the necessity of the processing to achieve that interest; and (c) the balance between the interest and the rights and freedoms of the affected Data Subjects. Each processing activity in the Data Map identified as relying on the Legal Basis of legitimate interests is supported by a corresponding LIA, maintained internally and available to the Supervisory Authority on lawful request.
MAU (Monthly Active User) — A unique User Account that has, within a calendar month, performed at least one of the following actions: a successful login; a content submission; a Persona switch; or any other interaction recorded in the Platform's internal operational metrics. The MAU figure is computed by Nixyum's internal operational metrics in pseudonymised form and is used for capacity planning and internal reporting purposes.
Minor — Any individual under the age of 18 years. The minimum age to register or use the Platform is 18 years. Minors are not permitted to register an Account or use the Platform. Where Nixyum identifies, or has reasonable grounds to believe, that a User is a Minor, Nixyum will suspend and remove the Account and delete the associated Personal Data in accordance with the Data Retention & Deletion Policy, subject only to any minimal retention required to prevent re-registration or to comply with a legal obligation.
Moderator — A Nixyum employee, contractor, or duly authorised representative responsible for reviewing User Content and conduct, investigating Reports, and applying Enforcement Actions in accordance with the Content Moderation & Takedown Policy and Nixyum's internal moderation procedures.
NCII (Non-Consensual Intimate Imagery) — Intimate imagery — including photographs, videos, and other visual depictions — that is published, distributed, or otherwise made available without the consent of the depicted individual. NCII includes both authentic imagery captured of a real person and Synthetic NCII. NCII is Prohibited Content under the Community Guidelines and is subject to the dedicated public takedown procedure set out in the Content Moderation & Takedown Policy.
NCMEC (National Center for Missing & Exploited Children) — A United States private, non-profit organisation that serves as the national clearinghouse for reports of missing and exploited children and operates the CyberTipline. Nixyum reports CSAM to NCMEC as set out in the Content Moderation & Takedown Policy.
Nex — The name used in the Platform's user interfaces, onboarding, help materials and communications for the User's Social Persona. "Nex" and "Social Persona" refer to the same Persona.
Nixyum (also "we", "us", or "the Company") — Nixyum LLC (შპს „ნიქსიუმი"), a limited liability company registered under the laws of Georgia, registration number 400458045, with its registered address at Tbilisi, 13 Nikoloz Janashia Street, Georgia. Nixyum is the operator of the Platform, the Controller of User Personal Data, and the contracting party in the Terms of Service.
Nyx — The name used in the Platform's user interfaces, onboarding, help materials and communications for the User's Anonymous Persona (also the Pseudonymous Persona). "Nyx", "Anonymous Persona" and "Pseudonymous Persona" refer to the same Persona. Nyx does not confer absolute anonymity; see Pseudonymous Persona and the Privacy Policy.
Personal Data — Any information relating to an identified or identifiable natural person (Data Subject). An identifiable person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier, or to one or more factors specific to their physical, physiological, genetic, mental, economic, cultural, or social identity. This definition is consistent with the Georgian Data Protection Law and, by harmonisation, the GDPR.
Platform (Service) — The social networking platform operating under the name "Nixyum," including its website, iOS and Android mobile applications, APIs, and all related features, content, services, and technologies operated by Nixyum. References to the "Platform" and the "Service" are interchangeable throughout the Policies.
Policies — The complete suite of governing documents that together form the legal framework for use of the Platform, each incorporated by reference into the Terms of Service. The Policies comprise: these Master Definitions; the Terms of Service; the Privacy Policy; the Cookies Policy; the Community Guidelines; the Content Moderation & Takedown Policy; the Data Retention & Deletion Policy; the Data Retention Schedule; the Advertising Policy; and the Data Map. Each Policy forms part of the binding agreement between Nixyum and each User.
Privacy Contact — The designated Nixyum representative responsible for receiving and handling privacy and data protection enquiries from Data Subjects and regulatory authorities. Reachable at [email protected]. Where Nixyum has not appointed a formal DPO, the Privacy Contact performs the data protection liaison function (see DPO definition).
Processor (Data Processor) — A natural or legal person, public authority, agency, or other body that processes Personal Data on behalf of and under the written instruction of the Controller. Nixyum engages third-party Processors (including providers of hosting, storage, email delivery, push notifications and security services, and of the computing capacity on which Nixyum runs its own Trust & Safety Models) who may only process Personal Data in accordance with Nixyum's documented instructions and applicable data protection obligations. All Processors are bound by data processing terms with Nixyum: a signed data processing agreement, or data processing terms incorporated into the provider's terms of service. Nixyum's Processors are listed on the Legal & Compliance page of the Nixyum Help Center.
Profiling — Any form of automated processing of Personal Data consisting of the use of Personal Data to evaluate certain personal aspects relating to a natural person, in particular to analyse or predict aspects concerning that person's performance, economic situation, health, personal preferences, interests, reliability, behaviour, location, or movements. Nixyum does not subject Users to decisions based solely on Profiling that produce legal effects or similarly significantly affect them, as further described in the Privacy Policy.
Pseudonymous Persona — A profile identity associated with a User's Account that does not show other Users the User's Account identity. Content published under the Pseudonymous Persona is not publicly attributed to the User's Account identity; however, Nixyum maintains a secure internal record linking the Pseudonymous Persona to the corresponding Account, as described in the Privacy Policy. The Pseudonymous Persona is the same Persona as the Anonymous Persona, which the Platform calls Nyx; the terms are interchangeable. The Pseudonymous Persona does not confer absolute anonymity, and Nixyum may disclose the User behind a Pseudonymous Persona only in the circumstances listed in the Privacy Policy.
Prohibited Content — Content that is not permitted on the Platform as defined and described in the Community Guidelines and Terms of Service, including but not limited to: content that is unlawful under applicable Georgian or international law; content that constitutes hate speech, harassment, or incitement to violence; sexually explicit material; CSAM; gratuitously violent or graphic content; spam or fraudulent content; malware or malicious code; and content that infringes the intellectual property or privacy rights of any third party. This is a non-exhaustive category; the Community Guidelines set out the definitive list.
Report — A formal notification submitted by a User, a third party, or an automated detection system to Nixyum identifying Content or conduct suspected to violate the Terms of Service or any Policy. Also referred to as a "complaint" or "flag." The process for submitting a Report and the procedure for handling Reports are set out in the Content Moderation & Takedown Policy.
REPORT Act — United States legislation that, among other things, sets minimum periods for which electronic service providers reporting to NCMEC preserve the contents of their reports. Nixyum is not established in the United States; it preserves CSAM evidence for the period set out in the Data Retention Schedule, which is not shorter than those minimum periods.
SAO (State Audit Office of Georgia) — The State Audit Office of Georgia (სახელმწიფო აუდიტის სამსახური), the independent constitutional body responsible for monitoring and enforcing compliance with the Georgian Data Protection Law. Also referred to herein as the "Supervisory Authority." Data Subjects have the right to lodge a complaint with the SAO if they believe their rights under the Georgian Data Protection Law have been infringed. The SAO administers personal data protection complaints through its dedicated portal at pdp.sao.ge.
SCCs (Standard Contractual Clauses) — Standard data protection clauses adopted or approved by the European Commission pursuant to Article 46(2) of the GDPR, used as a lawful mechanism for transfers of Personal Data from the European Economic Area (EEA) to third countries. Transfers to jurisdictions recognised as providing Adequate Protection rely on that recognition. Where a transfer relies on contractual safeguards instead, Nixyum relies on SCCs or on equivalent data protection clauses in the Processor's data processing terms, as described in the Privacy Policy and the Data Map.
Social Persona — The profile identity associated with a User's Account by which other Users know the User on the Platform. The Platform calls it Nex. The Social Persona may display the User's chosen display name, profile image, biographical information, and other details the User elects to provide. Content posted under the Social Persona is attributed to that identity and may be visible to other Users in accordance with the User's privacy settings.
Special Category Data — Personal Data that reveals or concerns: racial or ethnic origin; political opinions; religious or philosophical beliefs; trade union membership; genetic data; biometric data processed for the purpose of uniquely identifying a natural person; health data; or data concerning a person's sex life or sexual orientation. Special Category Data is subject to heightened protection under the Georgian Data Protection Law and, by harmonisation, the GDPR. Nixyum does not proactively collect Special Category Data. Users may, however, voluntarily disclose Special Category Data within their Content; any such disclosure is made at the User's sole discretion and risk.
Sub-processor — Any third party engaged by a Processor (or directly by Nixyum) to perform a specific portion of processing on Nixyum's behalf. All Sub-processors are bound by written agreements imposing data protection obligations equivalent to those binding Nixyum's primary Processors. Information about Sub-processors is available on request from [email protected].
Supervisory Authority — The independent body responsible for monitoring and enforcing compliance with the Georgian Data Protection Law. The Supervisory Authority is the State Audit Office of Georgia (SAO). See the definition of "SAO" above.
Synthetic NCII (Deepfake NCII) — NCII that has been generated, manipulated, or altered by computational means — including by artificial intelligence, machine-learning models, image-synthesis tools, or face-swap techniques — to depict an identifiable real person in an intimate context without that person's consent. Synthetic NCII is treated identically to authentic NCII for the purposes of the Community Guidelines, the Content Moderation & Takedown Policy, and the public takedown procedure.
TAKE IT DOWN Act — United States legislation establishing federal obligations on covered online platforms regarding NCII, including a 48-hour removal requirement for valid takedown requests. Nixyum is established and operates from Georgia and does not target or actively serve Users in the United States. Nixyum nevertheless voluntarily applies the Act's 48-hour removal standard to every NCII request, whatever the requester's country, counted from receipt of a complete request.
Terms of Service (Terms) — The principal binding agreement between Nixyum and each User governing access to and use of the Platform, incorporating all Policies by reference. The Terms of Service, together with the Policies, constitute the entire legal framework between Nixyum and its Users.
Third Party — Any natural or legal person other than: (a) the User; and (b) Nixyum and its Processors and Sub-processors acting under Nixyum's instruction. Third Parties include, without limitation, other Users, advertisers, payment processors, regulatory authorities, and law enforcement agencies.
Trust & Safety Models — Automated systems that Nixyum develops, adapts, evaluates or operates to detect, prevent and respond to harm on the Platform, including Prohibited Content and abuse of the Platform's features. Nixyum runs these systems itself, on computing capacity provided by its Processors, and does not send User Content to third-party artificial-intelligence services. Nixyum may use User Content, in pseudonymised form, to evaluate and improve these systems, on the Legal Basis of legitimate interest supported by a documented LIA. Private messages are used for this purpose only where Nixyum has confirmed that they break these Policies. Users may object to this use as set out in the Privacy Policy; an objection does not extend to Content that Nixyum has confirmed breaks these Policies, because protecting other Users from such Content is a compelling legitimate ground. Trust & Safety Models are not general-purpose or commercial AI products, and User Content processed for these purposes is not sold or licensed to any third party.
User (also "you") — Any natural person who accesses or uses the Platform, whether by registering an Account or by viewing publicly accessible Content without registration. All Users must be at least 18 years of age. By accessing or using the Platform, each User represents and warrants that they meet the eligibility requirements set out in the Terms of Service and agrees to be bound by the Terms of Service and all Policies.
4. Changes to These Definitions
Nixyum may update these Master Definitions from time to time to reflect changes in the Platform, applicable law, or operational practice. Material changes will be communicated to Users via the Platform or by email at least thirty (30) days before the change takes effect, except where a shorter period is required by law or is necessary for reasons of security or regulatory compliance. A correction or clarification that does not change Users' rights is not a material change and takes effect when it is published.
The "Last Updated" date at the top of this document reflects the most recent revision. Continued use of the Platform after the effective date of any update constitutes acceptance of the revised definitions. If a User does not accept the revised definitions, they must cease using the Platform and may delete their Account.
